Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and BJ JQZ Tech Co., LTD. ("MeDash," "we," "us," or "our") governing your access to and use of the MeDash website, applications, and social media management services (collectively, the "Services").

By creating an account, purchasing a subscription, connecting a third-party account, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Eligibility and Accounts

You must be at least 18 years old or the age of legal majority in your jurisdiction and legally able to enter this agreement. You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, recovery methods, connected accounts, team membership, and permissions, and for all activity performed through your account or workspace.

You must promptly notify support@medash.net if you suspect unauthorized access. We may require identity, authority, or account-ownership verification before restoring access or acting on a request.

2. Workspaces, Teams, and Administrators

Workspace owners and administrators control invitations, roles, permissions, connected accounts, content, and billing within their workspace. You authorize them to access and manage workspace information according to their assigned role. If you join an organization's workspace, that organization may retain control of content and records created for it even after your membership ends.

Only a person authorized by the owner of a social account, Page, channel, business location, or other asset may connect and manage that asset through MeDash.

3. The Services

MeDash provides tools that may include social account connections, content creation, scheduling and publishing, analytics, file management, team collaboration, approvals, automation, and Inbox workflows for supported platforms. Features depend on your plan, configuration, location, third-party authorization, API access, and platform availability. We may add, modify, suspend, or discontinue features, subject to applicable law and any commitments for a paid subscription term.

4. Third-Party Platforms and Authorization

Third-party services are not controlled by MeDash. Your use of Google, YouTube, Google Drive, Google Business Profile, Meta, Facebook, Instagram, Threads, and other connected platforms remains subject to their terms, policies, permissions, and technical restrictions. Connecting an account authorizes MeDash to access and act on that account only within the permissions you grant and the instructions you provide.

You may revoke an integration at any time through MeDash or the third-party provider. Revocation can disable related features and does not reverse an action already completed, such as publishing content, sending a reply, hiding content, or deleting content.

4.1 Google and YouTube

Use of Google-connected features is subject to the Google Terms of Service, the Google Privacy Policy, and applicable Google API policies. Use of YouTube features is also subject to the YouTube Terms of Service.

Google Sign-In is used for account authentication. Google Drive access is limited to files you select or that MeDash creates or opens with your authorization. YouTube features may allow authorized users to manage channel content, view analytics, read and reply to comments, and, where supported, hide, restore, or delete comments. You are responsible for reviewing the selected channel, content, and action before submitting it.

4.2 Google Business Profile

Google Business Profile features currently allow authorized users to select a location they manage and publish or manage supported Local Posts. You represent that your business information and post content are accurate, lawful, and compliant with Google's policies. Review management, messaging, and additional analytics are not guaranteed and will be offered only if implemented and authorized under the applicable Google APIs and policies.

5. Your Content and Instructions

You retain ownership of content you submit to MeDash. You grant MeDash a non-exclusive, worldwide, limited license to host, copy, process, transmit, format, and display that content solely as necessary to operate, secure, support, and improve the Services and to carry out your instructions. This license ends when the content is deleted from our active systems, except for limited backup retention and legal obligations described in the Privacy Policy.

You represent that you have all rights, permissions, consents, and lawful bases required for content and personal information you upload or process. You are solely responsible for the legality, accuracy, timing, audience, and consequences of content and actions initiated by you or your workspace users.

6. Publishing, Messaging, and Moderation Actions

Before publishing, replying, sending, hiding, restoring, or deleting, you must verify the selected account and content. An authorized user's confirmation is treated as an instruction to transmit that action to the relevant platform. Some actions, especially deletion, may be immediate and irreversible. MeDash cannot guarantee that a platform will accept, display, retain, or reverse an action.

You must not use the Services for unsolicited bulk messages, spam, deceptive engagement, harassment, unlawful surveillance, or automated activity prohibited by a connected platform. MeDash does not grant rights to contact individuals merely because their public comments or messages appear in an authorized Inbox.

7. Acceptable Use

You may not:

• violate law, third-party rights, or a connected platform's terms or policies;
• connect or control an account, Page, channel, location, or workspace without authorization;
• upload malicious code or content that infringes intellectual property, privacy, publicity, or other rights;
• circumvent quotas, access controls, security measures, plan limits, or API restrictions;
• scrape, harvest, resell, or build advertising profiles from data obtained through the Services or connected APIs;
• probe or disrupt the Services or use them to distribute malware, spam, or deceptive content;
• reverse engineer the Services except where such restriction is prohibited by law; or
• permit another person to use credentials or tokens in a way that defeats account or platform controls.

8. Subscriptions, Fees, Taxes, and Refunds

Paid plans, billing periods, included usage, and prices are shown at purchase. Unless stated otherwise, subscriptions renew automatically until canceled before the renewal date. You authorize the applicable payment provider to charge fees and taxes. Fees are non-refundable except where required by law or expressly stated in the purchase terms. Changes to a plan may affect available features, limits, storage, and connected accounts.

Failed payment may result in downgrade, suspension, or loss of access to paid features. You remain responsible for accrued fees and applicable taxes.

9. API Quotas and Service Availability

Connected features rely on third-party APIs, app review, user authorization, rate limits, quotas, and platform decisions. A provider may delay, reject, restrict, or revoke access; change data or functionality; or experience downtime. MeDash does not guarantee uninterrupted availability of any third-party integration, publication time, synchronization interval, analytics result, or message delivery.

We may temporarily limit activity to protect security, comply with a platform requirement, respect quotas, or prevent service degradation.

10. Intellectual Property and Feedback

MeDash and its licensors own the Services, software, design, trademarks, documentation, and related intellectual property, excluding your content and third-party materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your authorized subscription or account term.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without obligation to you, provided we do not identify you publicly without permission.

11. Privacy and Data Protection

Our Privacy Policy explains how MeDash processes and deletes information, including Google API data and OAuth tokens, and is incorporated into these Terms. Each party is responsible for its own compliance with applicable privacy and data-protection laws. If you process another person's information through the Services, you are responsible for required notices, consents, and instructions.

12. Suspension and Termination

You may stop using the Services, disconnect integrations, cancel a subscription, or delete your account through available settings. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay fees, misuse an API, or if a platform requires us to do so. Where reasonable, we will provide notice and an opportunity to cure unless urgent action is required.

Upon account deletion, access ends and MeDash deletes or de-identifies account and connected-platform data as described in the Privacy Policy, subject to limited backup, legal, security, and transaction-record retention. Account deletion does not remove content already published to a third-party platform; you must manage that content through the platform where necessary.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." MeDash disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant the accuracy of third-party data, analytics, translations, artificial-intelligence output, publishing results, or connected-platform availability. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, MeDash and its directors, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, content, data, or business opportunity arising from the Services or a third-party platform.

To the maximum extent permitted by law, our aggregate liability arising out of the Services during the 12 months before the event giving rise to the claim will not exceed the greater of the amount you paid MeDash for the Services during that period or USD 100. These limits do not apply where liability cannot be limited under applicable law.

15. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless MeDash and its affiliates, officers, employees, and suppliers from claims, losses, and reasonable costs arising from your content, your instructions, your connected accounts, your violation of these Terms or law, or your infringement of another person's rights. This obligation does not apply to the extent a claim was caused by MeDash's unlawful conduct.

16. Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection or jurisdictional rights that apply to you, disputes that cannot be resolved informally will be submitted to a court with competent jurisdiction where BJ JQZ Tech Co., LTD. is domiciled.

Before filing a claim, please contact support@medash.net and provide enough information for both parties to attempt a good-faith resolution.

17. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, security, or third-party requirements. We will post the updated Terms with a revised date and provide additional notice where required. Continued use after the effective date constitutes acceptance, except where applicable law requires affirmative consent.

18. General

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. These Terms, the Privacy Policy, and applicable purchase terms constitute the entire agreement regarding the Services.
